Terms and Conditions

​1. BASIS OF CONTRACT​

 

1.1. Scope: These Terms and Conditions apply to all sales by Go Pro Now Ltd and Go Pro Now (CY) Ltd (collectively, "the Company").

​

1.2. Formation: A binding contract is formed only upon the Company’s written acceptance of an order or the issuance of a Pro-forma invoice.

​

1.3. Precedence: These terms supersede any terms provided by the Buyer. No variation is binding unless agreed in writing by a Director of the Company.

​

2. PRICING, PAYMENT, AND DEPOSITS​

 

2.1. Payment Terms: Unless otherwise agreed in writing, all invoices must be paid in full prior to the release of goods.

​

2.2. Price Changes: The Company reserves the right to increase prices due to factors beyond its control (e.g., currency fluctuations, taxes/duties, or raw material costs) with 7 days' notice.

​

2.3. Non-Payment & Forfeiture: If a final invoice remains unpaid for twenty-one (21) days from the date it was shared with the Buyer:​

​

  • The Buyer shall automatically forfeit all deposits paid toward the order.

  • The Company reserves the right to retain the deposit as liquidated damages and to discount the goods into the open market to recoup outstanding amounts owed.

  • The Buyer shall have no further claim to the goods or the original deposit.​

​

 

 

3. SHIPPING, VOLATILITY, AND WAR RISKS​

 

3.1. Market Rate Adjustments: Shipping quotes are estimates. If global freight rates increase by more than 10% due to market volatility or conflict, the Company reserves the right to invoice the Buyer for the difference.

3.2. Conflict Zones: The Company shall not be liable for delays, non-delivery, or increased costs resulting from armed conflict, terrorism, or civil unrest affecting transit routes.

​

3.3. Surcharge Pass-Through: Any "War Risk Surcharges," "Emergency Bunker Surcharges," or increased insurance premiums imposed by carriers are the sole responsibility of the Buyer.

​

3.4. Right of Rescission: If shipping costs increase by more than 15% over the original quote due to geopolitical instability and the Buyer refuses to pay the adjusted cost, the Company may hold the goods indefinitely without penalty.

4. DELIVERY, RELEASE, AND STORAGE​

 

4.1. Release Notification: The Company will notify the Buyer when goods are ready for collection or dispatch ("The Release Date")

​

4.2. Collection Window: The Buyer must take possession of the goods or authorize dispatch within seven (7) days of the Release Date.

​

4.3. Storage Charges: Goods not removed within this 7-day window will be subject to Warehouse Storage Charges (calculated daily per pallet) which must be settled before the goods are released.

​

4.4. Risk Transfer: Risk of loss passes to the Buyer upon the Release Date (EXW) or when goods cross the ship’s rail (FOB).

5. RETENTION OF TITLE AND INSPECTION​

 

5.1. Ownership: Title remains with the Company until payment is received in full for the goods and all other outstanding sums due.

​

5.2. Inspection: The Buyer must inspect goods and report any damage or shortages in writing within 48 hours of delivery. The Company’s liability is limited to replacement or credit note.

6. LIMITATION OF LIABILITY​

 

6.1. General: The Company’s total liability shall not exceed the price of the goods.

​

6.2. Exclusions: The Company is not liable for the Buyer’s loss of profits, business interruption, or any indirect/consequential losses caused by delivery delays or market fluctuations.

7. FORCE MAJEURE​

 

7.1. Events: The Company is excused from performance for events beyond its reasonable control, including but not limited to: Acts of God, war, strikes, pandemics, or closure of international shipping lanes.

​

​

 

8. GOVERNING LAW​

 

8.1. UK Operations: Contracts with Go Pro Now Ltd are governed by the laws of England and Wales.

​

8.2. Cyprus Operations: Contracts with Go Pro Now (CY) Ltd are governed by the laws of the Republic of Cyprus.
